Terms of Service

These Terms of Service ("Terms") govern your access to and use of SellerHelm, a software platform operated by ClickSense LLC ("ClickSense," "we," "us," "our"). By creating an account or using SellerHelm, you agree to these Terms.

1. The Service

SellerHelm is a software platform that helps ecommerce sellers audit and improve their Amazon Seller Central and Walmart Marketplace businesses, including listing quality analysis, automated review requests, and pricing tools. SellerHelm is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or Walmart Inc.

2. Your Account

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You're responsible for all activity that occurs under your account.

3. Connecting Marketplace Accounts

To use most SellerHelm features, you must authorize SellerHelm to access your Amazon Seller Central or Walmart Marketplace account through their official authorization process (OAuth). By connecting an account, you represent that you're authorized to grant this access on behalf of the business. You can revoke this access at any time, either within SellerHelm or directly through your marketplace account settings.

4. Acceptable Use

You agree not to use SellerHelm to:

  • Violate any agreement between you and Amazon, Walmart, or any other marketplace, including their seller agreements and acceptable use policies
  • Request, incentivize, or manipulate reviews in a way that violates Amazon's Anti-Manipulation Policy for Customer Reviews
  • Attempt to reverse-engineer, resell, or provide unauthorized third-party access to the Service
  • Use the Service for any unlawful purpose

If we reasonably suspect you're using SellerHelm to violate a marketplace's policies, we may suspend or terminate your access.

5. Fees & Subscriptions

Certain features require a paid subscription, as described on our Pricing page. Fees are billed in advance and are non-refundable except where required by law. We may change pricing with notice; continued use after a price change takes effect constitutes acceptance.

6. Automated Actions Taken on Your Behalf

Certain SellerHelm features — including automated review requests and repricing rules — take actions on marketplace platforms on your behalf, based on settings you configure. You are responsible for reviewing and configuring these settings appropriately for your business. We are not liable for pricing changes, review requests, or other automated actions taken in accordance with settings you configured or left at their defaults.

7. Data & Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

SellerHelm, including its software, design, and content, is owned by ClickSense LLC. We grant you a limited, non-exclusive, non-transferable license to use the Service for your business, subject to these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC BUSINESS RESULT — INCLUDING SALES, RANKING, OR REVIEW OUTCOMES — WILL OCCUR.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLICKSENSE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Termination

You may stop using SellerHelm and close your account at any time. We may suspend or terminate your access if you violate these Terms, including the Acceptable Use section above. Upon termination, your right to use the Service ends, though certain provisions — including Sections 9, 10, and 12 — survive.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the platform before the changes take effect. Continued use of SellerHelm after changes take effect constitutes acceptance of the updated Terms.
